Carrillo Huettel, LLP represents issuers, underwriters, selling shareholders and private equity firms in public offerings of equity and debt securities. We have extensive experience in drafting SEC registration statements, offering memoranda and other disclosure documents and conducting due diligence investigations. Throughout our representation of clients in public offerings we have advised clients in connection with private-to-public mergers as well as corporate governance matters, including public company reporting on Form 10-K, Form 10-Q, Form 8-K, Form S-8 and Proxy Statements.

We assist clients in structuring private offerings, including raising capital in the private capital markets. We strive to work closely with our clients to understand their individual needs and business objectives, ultimately making your opportunity reality. We have guided clients from the planning and preparation phase through the funding of private placement, to compliance with Regulation D, Regulation S, and other securities laws.

As well as perform a wide range of complex corporate transactions, including counseling clients in structuring, negotiating and consummating acquisition transactions, corporate partnering, strategic alliances, technology licensing, supply and distribution agreements. We also have experience in facilitating commercial real estate transactions.


Carrillo Huettel, LLP advises entrepreneurs starting a new business regarding the development of a capital structure, early stage investment, the allocation of share ownership among participants and the development of stock-based benefit plans, such as stock option programs and restricted stock plans. We have also assisted our clients in the formation of Special Interest Groups (specifically California Mutual Benefit Corporations) including articles of incorporation, bylaws, membership agreements, tax exemption certificate and committee operating procedure guidelines.
